ANNOUNCEMENT

Lapse of deadline under Article 100 §3 of Law 4548/2018 – Authorization for the execution of a transaction (ship management agreement) with a related party

 

Alimos, 16 September 2025

Pursuant to Articles 101 §2 of Law 4548/2018 and 4.1.1 (16) of the Athens Stock Exchange Rulebook, as currently in force, and further to the Company’s announcement of 3.9.2025, “KΙRIACOULIS MEDITERRANEAN CRUISES SHIPPING S.A.” (the “Company”) hereby informs the investing public that the deadline provided under Article 100 §3 of Law 4548/2018 has lapsed without objections. Consequently, the authorization granted by the Company’s Board of Directors at its meeting held on 3.9.2025, in accordance with Articles 100 and 101 of Law 4548/2018, is considered final and valid for the execution of a ship management agreement between its subsidiary “Sapphire Inc.” and the related party “Y-Knot Ship Management Inc.”, based on the BIMCO Standard Ship Management Agreement.

The above Board resolution shall remain effective for a period of six (6) months from the date of its adoption.
