Implementation of the provisions of Article 17 of Law 5178\/2025 regarding the balanced representation of genders on the Board of Directors<\/strong><\/p>\n

Regarding the implementation of the provisions of paragraphs 2 and 3 of Article 17 of Law 5178\/2025, we inform you of the following:<\/p>\n

The Board of Directors of Y\/KNOT INVEST S.A. consists of six (6) members, of whom four (4) are men and two (2) are women, who are non-executive members.<\/p>\n

Accordingly, the representation of the underrepresented gender on the Board of Directors amounts to 33.33% of the total number of its members, exceeding the minimum percentage of 25% provided for in Article 3A paragraph 2 of Law 4706\/2020 and complying within the prescribed transitional period, as provided for in Article 17 paragraph 2 of Law 5178\/2025.<\/p>\n

Furthermore, the Company does not fall within the scope of paragraphs 3 and 4 of Article 3A of Law 4706\/2020, as it does not meet the prescribed criteria regarding the average number of employees and annual turnover, and therefore is fully compliant with the provisions of Article 17 paragraph 3 of Law 5178\/2025.<\/p>\n

The current composition of the Board of Directors has been elected in accordance with the applicable legislative and regulatory framework on corporate governance, while its term of office expires upon the election of a new Board of Directors by the Annual General Meeting of the shareholders for the year 2029.<\/p>\n

Furthermore, the Company has adopted and applied a Suitability Policy for the members of the Board of Directors, as well as other corporate governance policies and procedures, in accordance with the applicable legislative and regulatory framework.<\/p>\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n\n
