This license was granted to “Mediterranean Villages S.A. by the resolution no.1755/2010 of the Regulatory Authority for Energy which has been formulated according to the L.3851/2010 and the L.3468/2006 and according to the Regulation for Electric Power Production Licenses by using Renewable Energy Sources and via high electricity and heat output co-production (FEK B’ 448/03-04-2007).

This license is in force for 25 years with extension of time capability.

The produced energy will be exclusively disposed at the National Grid System upon signing a contract among the producer and the administrator of the Greek System Electric Power Transmission S.A.

The visitors of the 32nd Athens International Boat Show will have the opportunity to see for the first time in Greece, among others, at the stand of Kiriacoulis Mediterranean Cruises Shipping S.A. the creation of the German Shipyard Bavaria Yachtbau Gmbh, the Bavaria 45 Cruiser.

Bavaria in close cooperation both with the BMW Group Designworks USA and with the leading construction office of regatta sailing yachts Farr Yacht Design has constructed the Bavaria 45 Cruiser. Her first triumph was in the well-known, Dutch Regatta “Ronde om Noord Holland” which took place in June 2010 in Holland. The 45 Cruiser won not only at her category, but took home the overall victory amongst 250 competitors following the corrected timings. This yacht has an overall length of 14,27 meters, an overall beam of 4,35 meters and a 2,10 meters depth cast iron keel at her standard version, while there is also the choice of a 1,73 meters depth Keel. The yacht is, also, available in two different interiors, with a lay-out of either three or four cabins. The Bavaria 45 Cruiser is amongst the finalists “Yacht of the Year” in “Family Cruisers” category. The renowned award will be presented at the yacht exhibition “boot” in Düsseldorf in January 2011.

The new-build motor flagship Deep Blue 46 ST of the German shipyard which combines elegance, convenience and functionality will be also exhibited at the stand of Kiriacoulis. For its movement, it uses two Volvo Penta engines with total horse power ranging from 660 to 740. The design is signed, as in Deep Blue 46 Open, by BMW Group DesignworksUSA, subsidiary of BMW Group.

“Kiriacoulis Mediterranean Cruises Shipping S.A.”, with the company “KIRIACOULIS motor yachts s.a.”, participated dynamically in the floating boat show Exclusive Yachting 2010 that took place from 16 to 20 September at the Olympic Marina of Aghios Kosmas.

The friends of sea had the opportunity to see for the first time in Greece the Bavaria Deep Blue 46 Sport Top, a creation of the German Shipyard Bavaria Yachtbau Gmbh as well as the AICON 75 fly HT of the Italian Shipyard Aicon Yachts SPA.

The new-build motor flagship Deep Blue 46 of the German Shipyard combines elegance, convenience and functionality. For its movement, it uses two Volvo Penta engines with total horse power ranging from 660 to 740, depending on the client’s choice. The design is signed, as in Deep Blue 46 Open, by BMW Group DesignworksUSA, subsidiary of BMW Group.

“KIRIACOULIS motor yachts s.a.” – the Parent company of the Group participates to its share capital by 51% percentage – toured the lovers of mega motor yachts quality in Aicon 56 fly, Aicon 64 fly as well as in the first time presented in Greece, Aicon 75 fly HT.

Aicon 75 fly HT characterized by the design identity of the Italian shipyard, which totally epitomizes the sense of movement. Full equipment, spacious rooms as well as capacious fuel and water tank are some of the Aicon 75 fly HT plus. Exceptional attention to detail and premium quality the shipyard has given to the yacht since the wooden and leather material dominates, while the highly rank electrically slide roof which is not optically heavy, as a polyester one would be, provides ample shadow. The yacht is powered by two CAT C32 engines with a 3.100 total horse power, reaching a maximum speed of 32 knots.

“KIRIACOULIS MEDITERRANEAN CRUISES SHIPPING S.A.” announces to the investors that The Ordinary General Assembly of the company’s shareholders held on 30 June 2010 decided, among other issues of the agenda, the increase of the nominal value of each share from 0.30 euro to 0.60 euro and at the same time the reduction of the total number of the company’s outstanding shares from 15,190,320 to 7,595,160 common registered shares (reverse split), at a ratio of 1 new share in replacement of 2 existing shares.

Following this, the company’s share capital still amounts to 4,557,096 euro divided into 7,595,160 common registered shares of nominal value 0.60 euro each.

On 10/08/2010 the decision No.K2-7014 of the Minister of Economy, Competitiveness and Shipping, which approved the relevant amendment of the article 5 of the Company’s Articles of Association, was registered in the Societes Anonyme Registry.

The Athens Exchange Board of Directors, at its meeting held on 12/08/2010, approved the floating at the Exchange of the above 7,595,160 new shares of a nominal value 0.60 euro each in replacement of the existing 15,190,320 common registered shares.

17/08/2010 is set as the last trading day of the existing 15,190,320 company’s common registered shares at the Athens Exchange. As of the following trading day 18/08/2010, the trading of the company’s shares will stop temporarily so as the replacement process be completed in accordance with the aforementioned stipulations. The beneficiaries of the above corporate action are the shareholders who will be registered in the Dematerialized Securities System (D.S.S.) archives as regards the aforementioned listed company as at 20/08/2010.

25/08/2010 will be the first floating date of the 7,595,160 new shares with the new nominal value 0.60 euro per share at the Athens Exchange. As of that date, the new total outstanding company’s number of shares listed on the ATHEX will amount to 7,595,160 common registered shares, the initial share price at the ATHEX will be determined according to the Athens Exchange Rulebook, as well as the Athens Exchange BoD decision No 26 as in effect, and the new shares will be credited to the Shareholders’ Share account and Securities account in the Dematerialized Securities System (D.S.S.).

The Ordinary General Assembly of the Company’s Shareholders held on 30 June 2010 decided upon all issues of the agenda by quorum of 73.58% (i.e. 11,177,519 shares out of a total of 15.190.320) and by 100% majority (i.e. 11,177,519 shares out of an equal number of attending shares). Decisions are as follows:

1)+2) The Annual Financial Report for the period 01.01.2009 to 31.12.2009 dated 29.3.2010 as well as the relative report by the Auditor dated 30.3.2010 were approved.

3) The members of the Board of Directors and the Auditor were released from any liability of compensation arising from the Annual Financial Report as well as the administration and management in general of the period 01.01 – 31.12.2009.

4) The auditing firm “SOL S.A.” (Reg. N. SOEL 125) was elected as Auditors for the period 01.01 – 31.12.2010. Regular Auditor is Mr. Meletios Siastathis (Reg. N. SOEL 12181) and substitute Mr. Charalambos Stathakis (Reg. N. SOEL 12251).

5) The distribution of profits of the period 2009 and the non – distribution of dividend to the shareholders were approved.

6) The remuneration and expenses paid to members of the Board of Directors and to Auditors were approved and their relevant future remuneration and expenses were fixed.

7) The amendment of the article 5 of the Company’s Articles of Association was approved and the increase of the nominal value of each share from thirty cents (0,30 €) to sixty cents (0,60 €) was decided simultaneously with the reduction of the number of the company’s outstanding shares from 15.190.320 to 7.595.160 shares (reverse split) at a ratio that one (1) new share replaces two (2) old shares.

Following this, the Company’s share capital amounts to four million five hundred fifty seven thousand and ninety six euro (4.557.096 €) divided by seven million five hundred ninety five thousand and one hundred sixty euro (7.595.160 €) registered shares, with nominal value of sixty cents (0,60 €) per each.

Following the Board of Directors decision of 17.5.2010 and in accordance with the company’s Articles of Association, the shareholders of “KIRIACOULIS MEDITER-RANEAN CRUISES SHIPPING S.A.” are invited to the Ordinary General Assembly, on Wednesday, 30 June 2010, at 16.30 p.m. at the Company offices, in Alimos – Attica, at 7, Alimou Ave., for discussing and taking decisions on the following issues:

Agenda of the meeting

1. Submission and hearing of the reports of the Board of Directors and of the Αuditor concerning the Annual Financial Report of the period 01.01.2009 to 31.12. 2009 for the company and the Group.

2. Submission and approval of the Annual Financial Report of the period 01.01.2009 to 31.12.2009 for the company and the Group as well as of the Αuditor’s report.

3. Release of the members of the Board of Directors and of the Αuditor from any liability for compensation in connection with the Annual Financial Report and the administration and management in general of the period 01.01 –31.12.2009.

4. Election of auditors (regular/alternate) for the period 01.01.2010 to 31.12.2010 and fixing of their fee.

5. Approval of the distribution of the profits.

6. Approval of the remuneration and expenses paid to the members of the Board of Directors and fixing of the relevant future remuneration and expenses.

7. Ιncreasing of the nominal value of each share from 0,30 to 0,60 while reducing the number of outstanding shares (reverse split) at a ratio of 2 / 1, meaning a decrease in the number of shares from 15.190.320 shares to 7.595.160 shares and the corresponding amendment of article 5 of the Company and the formation into a single text.

8. Various issues and announcements.

Shareholders are entitled to participate in the General Assembly either in person or with a proxy. A relevant draft of proxy is available in the Company website www.kiriacoulis.com and at the Company offices (7, Alimou Ave., Alimos – Attica, tel. 210 9886187 & fax 210 9885392). Each share gives the right of one vote. Shareholders wishing to participate in the General Assembly either in person or with a proxy must, through their administrator in the System of Dematerialized Certificates (Greek “SAT”), block all or part of their shares and receive by said administrator a relevant certificate which they must lodge (together with any documentation of representation) with the Company’s Treasurer, or the Consignations & Loan Fund, or any recognised Bank in Greece or abroad and deposit the respective certificates at the Company offices at least five (5) days before the day of the General Assembly. In case no administrator has been appointed and the shares are kept in the special account, the relevant certificate is produced by the “Hellenic Exchanges Holding S.A.”, at 110 Athinon Avenue, in Athens.
