The sea lovers and the friends of the yachting will have the opportunity to visit the Kiriacoulis stand, to be directly informed by the officers of the company and, of course, to see closely three exceptional yachts of foreign shipyards be represented in Greece by Kiriacoulis.

More specifically, The Greek Company will present to the sailing lovers, both the Dufour 425 and the Bavaria 40 Cruiser. The Dufour 425 of the homonym French shipyard is a yacht with elegant lines, high quality construction, facileness to sail and high performances. The Bavaria 40 Cruiser of the homonym German shipyard is a sailing yacht with ample interior spaces, ergonomic design and is fully equipped, characteristics which make it an ideal proposal both for private use and for chartering.

For the motor yachts friends, Kiriacoulis will have in a prominent position the Bavaria 37 sport, successor of the successful model Bavaria 35 Sport. This motor yacht is available in two different versions, Open and Hard Top. In the engine room are installed engines with total horse power from 600 to 650, sailing the yacht with cruising speed that reaches up to 30 knots. Furthermore, the yacht is provided upon order with the avant-garde drive system Axius from the Mercruiser enabling the manoeuvres in the marina an easy matter.

Last but not least, the visitors will have the chance to be informed in detail for all the yacht models of the distinguished shipyards Bavaria Yachtbau Gmbh, Dufour Yachts S.A., Lagoon S.A., Fountaine Pajot S.A. and Alubat S.A.S that are offered in our country by Kiriacoulis.

A new model came to be added in the successful sailing yacht “Cruiser Series” of the German shipyard Bavaria Yachtbau Gmbh which consists of luxurious sailing yachts ranging from 31 to 50 feet.

The Bavaria 35 Cruiser is the ideal proposal for those looking for a yacht that combines high level accommodation, is fully equipped and easy to navigate. The new yacht has 10,76 meters overall length and 3,60 meters overall beam. The unloaden weight is up to 5,800 kg and the standard keel draft is 1,92 meters. The cockpit is rather spacious and is designed upon the criterion of facileness to sail and control the yacht. More specifically, the pilot wheel-house is placed in the stern part of the yacht and right ahead are the navigation instruments. The cockpit is also covered by the spray hood offering protection from the air and the spray of the sea.

Referring to the interior, the new Bavaria is a three-cabin yacht with two twins’ double bed cabins being placed at the aft part and the third double bed cabin placed at the fore part. In the centre of the yacht, an elegant saloon with valuable refined wood is creating a cosy and comfortable ambience. Next to the saloon, the fully equipped kitchen is allowing a very long stay aboard.

The new Bavaria will be launched at the international boat shows within the new year and we will see it in the Greek waters from the spring of 2009. Bavaria Yachtbau Gmbh is the biggest shipyard in Germany and one of the most recognizable in the yard firmament.

“K&G Med. Marinas Management S.A.” was established in 2001 and is involved in the marinas management and operation sector, providing management, organizational and promotion services. “Kiriacoulis Mediterranean Cruises Shipping S.A.” owns 51,32% of the share capital of the company.

IMC, which is one of the nine (9) working committees of ICOMIA (International Council of Marine Industry Associations), deals among others with issues related to marina management and operation such as safety, protection of the environment, evolution of new methods and practices etc. The committee also prepares proposals to the European Parliament regarding the issuance and enactment of rules and regulations concerning the operation of marinas.

The most important decisions taken during the meeting are

· The establishment of a marina evaluation system

· The operation of training schools for marina executives

· A website development for marina owners and administrators

· Conclusions deriving from statistical data collected from existing marinas.

As part of the side events of the meeting, “K&G Med. Marinas Management S.A.” organized a tour in Gouvia marina and also presented the other marinas (Lefkas, Zea, Kalamata) that “Kiriacoulis Mediterranean Cruises Shipping S.A.” has equity participation. The Mayor of Corfu, Mr. Micallef, honored with his presence the opening ceremony of the meeting.

All developments in the marina sector are of significant importance for “Kiriacoulis Mediterranean Cruises Shipping S.A.”, as, according to the latest published financial data of the period 1/1-30/06/2008, the 14,28% of its assets is invested in companies active in this sector. Based on the same financial data, the 12,93% of the turnover of the Group, of the financial period 1/1-30/06/2008, derive from companies of the marina sector (subsidiaries of the parent company)

“Kiriacoulis Mediterranean Cruises Shipping S.A.”, with the companies “KIRIACOULIS motor yachts s.a.” and “Executive Yachting S.A.”, participates in the boat show “Exclusive Yachting” that takes place from 18 to 22 September at the Olympic Marina of Aghios Kosmas.

The visitors of the boat show will have the opportunity to admire the yachts in familiar surroundings and to ramble in them from the persons in charge of each company. In the land part of the event they will have also the opportunity to be informed for all the yachts’ models of the distinguished Shipyards Bavaria Yachtbau GmbH, Dufour Yachts S.A., Fountaine Pajot S.A., Alubat S.A.S., Aicon Yachts and SANLORENZO that are offered by the companies of the Group.

More explicitly, the Parent company of the Group “Kiriacoulis Mediterranean Cruises Shipping S.A.”, will give, for the second time, a dynamic present with motor yachts of the German Shipyard Bavaria Yachtbau GmbH. In particular, the visitors and the sea lovers will have the opportunity to get to know the Bavaria 33 Sport and the Bavaria 37 Sport.

The first participation of the new-established company “KIRIACOULIS motor yachts s.a.” -the Parent company of the Group participates to its share capital by 51% percentage- will give the opportunity to the visitors to be informed for the yachts of the Italian Shipyard Aicon Yachts, which consists its exclusive representative in Greece.

With the presentation of the luxurious yachts Sanlorenzo 62 and Sanlorenzo 88 of the Italian Shipyard SANLORENZO, “Executive Yachting S.A.” will participate -the Parent company of the Group participates to its share capital by 45% percentage- for the third following year in the boat show, as exclusive representative of the above shipyard in Greece.

The new-established company –registered office in Piraeus and share capital 200,000 euro- undertook the exclusive representation in Greece of the distinguished Italian Shipyard Aicon Yachts.

The Sicilian shipyard Aicon Yachts, was developed the last decade and remains ascendantly in top 10 of sales internationally producing unique in design models from 54 to 110 feet, fly and open version. Fly models 54, 56, 58, 64, 75, 85 and 110 are produced in Giammoro of Sicily, while the open models 62, 72 and 82 are produced in Villafrance Tirrena of Sicily.

The 56 fly model and the 64 fly model in a 4-cabin version are already both rewarded in their category in international salons; while the new 75 fly was first presented in Cannes Festival and marks big success with 14 globally orders until now. The new project of Aicon Yachts Navetta 110 in 5-cabin or 6-cabin lay out was developed according to the new trend in respect of fuel economy.

KIRIACOULIS motor yachts sa ’s activities are the sales of new and second hand Aicon yachts, the technical support and offering additional services to the already existed and new owners of Aicon yachts as discounts in fuel supplies, spare parts, technical services, clothing with the emblem of Aicon as well as in items of Christofle products.

KIRIACOULIS motor yachts sa with the purchase of a new Aicon will guarantee berthing in one of the four marinas in which the Parent Company of the Group has share capital participation (Zea, Gouvia-Corfu, Lefkas, Kalamata) and will support the owner of professional Aicon yacht through a charter network with common prices within Mediterranean Sea, so the prospective charterers can easily choose every year their cruise destination and yacht model.

As per article 279§1 of the Athens Exchange Rulebook, “KIRIACOULIS MEDITERRANEAN CRUISES SHIPPING S.A.” announces that according to the decision of the Ordinary General Assembly of the shareholders held on 30 June 2008, the total net dividend for 2007 amounts to € 531,661.20 which accounts for a net dividend of € 0.035 per share. Beneficiaries of the dividend for the year 2007 are all shareholders at the end of the trading session of Athens Exchange on 7 August 2008. The ex-dividend date will be on 8 August 2008. Thus, shares will be traded on Athens Exchange from 8 August 2008 with no right to the dividend of the period 01.01.2007 to 31.12.2007. The amount above is free from any tax as per Law 2238/1994, as currently in force. The distribution of dividend will commence on 18 August 2008 through PIRAEUS BANK S.A. (payer bank) as follows: – Through the authorized operators of the Dematerialised Securities System (investment services firms and banks) for shareholders who have given such an authorization. – Through the branch network of PIRAEUS BANK S.A. for those shareholders who either keep their shares in special securities accounts in the Dematerialised Securities System or have not given or revoked such an authorization to their operators (with a relevant letter to “Hellenic Exchanges S.A.” at least 5 working days before the date of distribution of dividend) or for shares held in accounts of non presented shareholders. In these cases, the distribution will be made directly to shareholder by presenting their identification card, tax number and share account (in the Dematerialised Securities System). In case of a dividend payment to a person other than the shareholder, a written authorization signed by the shareholder and ratified by competent Greek authority, besides the above, should be presented to PIRAEUS BANK S.A. After 31 December 2008 the distribution of dividend will be made from the company’s offices at 7 Alimou Ave. Alimos – Attica, after contacting the Shareholders’ Service Department (tel. 210-9886187). The company will provide a relevant Distribution of Dividend Certificate.

The Ordinary General Assembly of the Shareholders held on 30 June 2008 has decided the following upon the issues of the daily agenda by quorum of 72.60% of shares (i.e. 11,028,350 shares out of a total of 15.190.320) and by 100% majority (i.e. 11,028,350 shares out of the total 11,028,350 shares present at the General Meeting):

1+2) The financial statements for the period 01.01.2007 to 31.12.2007 as well as the relative reports by the Board of Directors and the Auditor were approved.

3) The members of the Board of Directors and the Auditor were released from any liability for compensation arising from the financial statements and the administration and management in general of the period 01.01.2007 to 31.12.2007.

4) The auditing firm “SOL S.A.” (Reg. N. SOEL 125) was elected as Auditors for the period 1 January 2008 to 31 December 2008. Regular Auditor is Mr. Meletios Siastathis (Reg. N. SOEL 12181) and substitute Mrs. Galanopoulou Konstantia (Reg. N. SOEL 12931).

5) The distribution of dividend to the shareholders amounting to € 531,661.20 which equals to € 0.035 dividend per share was approved.

Beneficiaries of the dividend for the year 2007 are all shareholders at the end of the trading session of Athens Exchange on 7 August 2008. The ex-dividend date will be on 8 August 2008. Thus, shares will be traded on Athens Exchange from 8 August 2008 with no right to the dividend for the period 01.01.2007 to 31.12.2007. The distribution of dividend will commence on 18 August 2008. The distribution of dividend will be made through PIRAEUS BANK S.A. according to relevant announcement of the company.

6) The remuneration and expenses paid to members of the Board of Directors and to Auditors were approved and their relevant future remuneration and expenses were fixed.

 7) The terms of floatation of a common bond loan amounting to € 5,000,000 were approved and defined. Said terms are in accordance with the provisions of Law 3156/2003 and will be further defined with the relevant contract.  “EMPORIKI BANK OF GREECE S.A” and “EMPORIKI BANK CYPRUS LTD” will be the bonded creditors. The purpose of said common bond loan is to raise new funds for the Company to use for settling an equal debt towards “EMPORIKI BANK OF GREECE S.A” for current working capital. Said capital has been used by the Company for buying new yachts in the context of the constant renewal of its fleet and for paying off older loans that had been taken for the same purpose.

 8) The amendment, replenishment, abrogation and renumbering of the  provisions of the Articles of Association with the purpose of adaptation to the Law 3604/2007 and the improvement of its functionality was approved in accordance with the relevant announcement of 26 June 2008 which has been posted at the Athens Exchange website www.athex.gr and at the Company’s website www.kiriacoulis.com.
